License Agreement For IT-BLOCKS On-Premises Products

This software is On-premises software that is installed and operated from a customer's in-house server and computing infrastructure. It utilizes an organization’s native computing resources and requires only a licensed or purchased copy of software from an independent software vendor.


  1. Licensor grants Licensee a nonexclusive, non-transferable perpetual license (the “License”) to use the Licensed Software and the Documentation for its own internal business purposes, subject to the terms of this Agreement.
  2. Licensee may use the Licensed Software on a single system, defined here as one single database instance or hierarchy, independent of where the database instance resides, that contains the entirety of information Licensee employs in their use of the Licensed Software and shall use a serialized software key to limit the concurrent usage to those for which the License was purchased.
  3. Licensee agrees not to rent, lease, sublicense, time-share, or otherwise distribute the Licensed Software or Documentation, or to host applications to provide service bureau, time-sharing, or other computer services to third parties (except that, in the event Licensee outsources the operation of its conference facility, Licensee agrees not to reverse-engineer, decompile, disassemble, modify, create derivative works of, or copy the Licensed Software, except that one copy of the Licensed Software may be made for archival purposes and Licensee’s in-house technical support team may run tools against the Licensed Software to determine the database structure for purposes of troubleshooting problems and creating work-around.
  4. Any attempt by Licensee to assign or otherwise transfer its rights or obligations under this Agreement (including all attachments hereto) without the consent of Licensor will be null, void, and of no effect.
